Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AssetBase platform ("Service") operated by AssetBase ("we", "our", "us"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using AssetBase, you confirm that you are at least 16 years of age, have the authority to enter into these Terms on behalf of your organisation (if applicable), and agree to comply with all applicable laws and regulations.

If you do not agree to these Terms, you must not use the Service.

2. Service Description

AssetBase is a cloud-based asset tracking and borrowing management platform that enables organisations to:

• Track and manage physical assets and inventory
• Assign and monitor asset borrowing
• Send notifications to borrowers via WhatsApp and Telegram
• Maintain audit trails and generate reports
• Integrate with enterprise directory services

3. Accounts & Registration

To use AssetBase, you must register for an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Promptly notifying us of any unauthorised access

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period.

4. Subscriptions & Billing

AssetBase offers the following subscription plans:

Business	$199/month	Up to 50 admins, 50,000 assets, advanced reports, custom fields, integrations
Enterprise	Custom pricing	Everything in Business, plus SSO, directory integrations, and custom contracts

• Subscriptions are billed monthly unless otherwise agreed.
• Payment is processed through our payment provider, Dodo Payments.
• You may upgrade your plan at any time; changes take effect immediately.
• You may downgrade your plan at any time; changes take effect at the start of your next billing cycle.
• Refunds are not provided for partial billing periods.

5. Free Trial

All plans include a 14-day free trial with no credit card required. During the trial, you have full access to the features of your selected plan. At the end of the trial:

• You may subscribe to continue using the Service.
• If you do not subscribe, your account will be downgraded and access to premium features will be restricted.
• Your data will be retained for 30 days after the trial ends, after which it may be permanently deleted.

6. Acceptable Use

You agree not to use AssetBase to:

• Violate any applicable law or regulation
• Infringe on the intellectual property rights of others
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorised access to the Service, other accounts, or our infrastructure
• Use the Service for any purpose other than legitimate asset tracking and management
• Resell, sublicense, or redistribute access to the Service without written permission
• Abuse API rate limits or attempt to overload the system

We reserve the right to suspend or terminate accounts that violate this policy.

7. Data Ownership

You own your data. All asset records, people records, files, and organisational data you enter into AssetBase remain your property. We do not claim any ownership or intellectual property rights over your content.

You grant us a limited licence to host, store, and process your data solely for the purpose of providing the Service. This licence terminates when you delete your data or close your account.

You may export your data at any time through the Service's export functionality.

8. Intellectual Property

The AssetBase platform, including its design, code, branding, and documentation, is the intellectual property of AssetBase and is protected by applicable copyright and trademark laws.

You may not copy, modify, reverse-engineer, or create derivative works of the Service without our written consent.

9. Service Availability

We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to:

• Scheduled maintenance (with advance notice when possible)
• Emergency infrastructure updates
• Circumstances beyond our reasonable control

We are not liable for losses resulting from temporary unavailability of the Service.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• AssetBase is provided "as is" without warranties of any kind, whether express or implied.
• We do not warrant that the Service will be error-free, secure, or available at all times.
• Our total liability arising from your use of the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.
• We are not liable for indirect, incidental, special, consequential, or punitive damages.

11. Termination

By you: You may cancel your subscription and close your account at any time from the dashboard settings. Your data will be retained for 30 days after closure, then permanently deleted.

By us: We may suspend or terminate your account if you violate these Terms, fail to pay subscription fees, or if we discontinue the Service (with reasonable notice).

Upon termination, your right to use the Service ceases immediately. Sections relating to data ownership, intellectual property, limitation of liability, and governing law survive termination.

12. Modifications to Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top. For material changes, we will notify you via email or a notice within the Service at least 30 days in advance.

Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation first, and if necessary, through binding arbitration.
